This Instructor Agreement ("Agreement") sets out the terms that apply when you publish and sell courses as an instructor on the Modwheel Academy platform (the "Platform"), operated by Company Legal Name ("Modwheel Academy", "we", "us"). It supplements our Terms of Use. By being approved as an instructor and publishing content, you agree to this Agreement.

Eligibility & Curation
Modwheel Academy operates a curated roster. Becoming an instructor requires approval, and we may apply review and quality standards before a course is published and on an ongoing basis. We may decline, unpublish, or request changes to content that does not meet our standards or violates this Agreement or any referenced policy.
Content Ownership & License to Modwheel Academy
You retain ownership of the course content you create and upload. You grant Modwheel Academy a worldwide, non-exclusive license to host, store, reproduce, stream, market, and distribute your content on and through the Platform for the purpose of operating the service and promoting your courses. You represent that you have all rights necessary to grant this license and that your content does not infringe the rights of others.
Revenue Share
For each eligible sale of your course, you earn 60% of the net revenue attributable to that sale, and Modwheel Academy retains the remainder as its platform fee. "Net revenue" means the amount received after payment-processing fees, taxes, and applicable refunds or chargebacks. Revenue share is calculated per transaction in the currency of sale (US Dollars, USD, unless otherwise stated).
Payouts
Earnings accrue to your instructor balance as sales are confirmed. Payouts are issued once your available balance reaches the minimum payout threshold of $50 USD, according to our standard payout schedule and through our payout provider. You are responsible for providing accurate payout details. Amounts below the threshold roll over until the threshold is met.
Instructor Responsibilities
You are responsible for the accuracy, quality, and lawfulness of your course content; for responding to reasonable student questions where your course invites them; and for keeping your account and payout information current. You agree to honor the representations you make about your courses on the Platform.
Prohibited Conduct
You may not upload content that infringes intellectual-property rights, is unlawful, deceptive, or harmful, or that violates our Acceptable Use Policy. You may not manipulate sales, reviews, or rankings, misrepresent your courses, or attempt to divert transactions off-Platform to avoid fees.
Termination
Either party may terminate this Agreement consistent with our Terms of Use. We may suspend or remove your courses or instructor access for violations of this Agreement or applicable policy, or as required by law. On termination, any earnings properly accrued and payable will be paid in accordance with the Payouts section, subject to refunds, chargebacks, and legal requirements.
Taxes
You are responsible for determining and meeting your own tax obligations on the income you earn through the Platform. Depending on your jurisdiction, we or our payment provider may be required to collect tax information from you or to withhold or report amounts.
Changes
We may update this Agreement from time to time. When we make material changes, we will update the effective date and may provide additional notice. Continued use of instructor features after changes take effect constitutes acceptance.
